Amp ventilation

I'm putting together a new system for my Subaru and I'm thinking about mounting the amp(s), or at least the 4 channel amp, in the spare tire well, as there is a removable shelf in there and enough room for it. I wonder with the well closed and the trunk mat on top of it, will it get enough ventilation? If it overheats will it just shut off or what?

The amp I will likely be running is an Elemental Designs 9.4 which is rated at 4 x 65 @ 4 Ohm, so I wouldn't imagine it will be putting off gobs of heat.
 
I ran an Xtant 202m in the trunk of the Contour in the passenger side fender well and covered it back up with the trim. I ran it Mono at 2 ohms to a JL Audio sub for over two years like that and it never failed or cut out. I am still using it now with no problems. Power output was about the same as yours.

I did the same with a Crossfire VR300D and never had any problems. I guess a good rule of thumb is to hook it all up exposed before hand and see how much heat it puts off first.
