ahah yeah i was just thinking that...if you look down there under the seats, the vents would be blowing hot air right onto the amp...

BTW, you could always suspend an amp rack from the rear deck to mount the amp to. Search the boards, lots of pics of them.

never done this, but after doing a rear deck sub i think i have an idea...
just build a platform out of wood or w/e you want, and mount your amp to it. then get some bolts, drill a few holes into the deck and a few into the platform, and suspend the platform from the deck (by puttingthe bolts through the rear deck and into the platform)...just make sure you have some space in between the top of the amp and the rear deck. you could use nylon locknuts at the bottom to make sure it wont come loose. does this help?
damn...now that ive written all of this, i kind of want to do this

That would depend on the particular amp, wouldn't it? It is possible to design an amp with adequate cooling when it is mounted in any position. One way to do it is to add a fan. Another way is to design the amp so that convection cooling works equally well in both directions. Most amps have the heat producing components mounted in the sides (as opposed to the top or the bottom), probably for this very reason.
It would depend on the amp, but for the vast majority of them I'd never chance an inverted mount. You might have no problems during winter, but just think how hot the trunk gets during summer and then with all of the heat the amp generates being redirected right back into it.
I'd have no problems invert-mounting a Blaupunkt Class T amp. They run so cool that they have plastic housings.
I'm currently using a Lanzar rack amp suspended below the rear deck with about 2" above it for cooling. I could sense the power drop this summer when it got really hot outside.
Solution: Add another Lanzar rack amp.
