We have created a unique program which rewards you with an EPP store credit for buying, and/or getting your family and friends to buy, IBM ThinkPad and NetVista products through the Employee Purchase Program. Think of this store credit as EPP bucks! Below are some highlights of the program. However, important restrictions apply. For complete details, consult the official Program Terms.

Program Highlights:
All regular full-time or regular part-time IBM employees with a valid IBM Serial Number who are legal residents of the United States (including Puerto Rico) and at least 18 years of age are eligible to receive credit vouchers, totaling up to a maximum store credit of $1000 in EPP bucks!

You can receive a credit voucher of up to $200 EPP bucks for every 5 total NetVista or ThinkPad computers purchased. Your own purchases as well as those made by your family and friends (by using your serial number and surname) are eligible. But, systems that are returned to IBM don't qualify.

These EPP bucks can be applied towards a single future purchase you make through the EPP. Employees can qualify for up to five credit vouchers, for a maximum store credit of $1000 in EPP bucks.

Once you have qualified for a single credit voucher (after 5 systems have been purchased), you will be notified via Lotus Notes e-mail. A credit voucher expires 180 days from the date it is issued. When you spend your EPP bucks, the credit you actually redeem will be reported as income and is subject to income tax withholding in a subsequent paycheck. Any credit that remains after a voucher is used is forfeited.

Your total credit amount will be determined by the mix of ThinkPad notebook and/or NetVista desktop systems purchased. In determining the credit amount, a NetVista system is worth $20 EPP bucks, and a ThinkPad system is worth $40 EPP bucks. Because 5 system purchases are required before a credit can be issued, the total credit for each credit voucher will range from $100 to $200.

Only systems purchased using your serial number and surname between June 15, 2001 and December 31, 2001 qualify.

For this program, a total of up to 25 system purchases per employee serial number can be made before 12/31/2001, regardless of purchases made before 6/15/2001. In other words, as of June 15, 2001, the counter was reset on your annual limit of 25 system purchases per serial number.

IBM EPP 2001 Rewards-for-Referrals Program Official Rules:
The IBM US Employee Purchase Program (EPP) is proud to announce a new referral program ("Program") for 2001. Following are the official rules for this Program.

1. QUALIFICATION PERIOD:
The Program begins for all purchases made starting at 12:00:01 A.M. Eastern Time ("ET") on June 15, 2001, and will continue for all purchases made until 11:59:59 P.M. ("ET") on December 31, 2001 (the "Program Period").

2. ELIGIBILITY:
The Program is only open to legal residents of the United States (including Puerto Rico) who are at least 18 years of age and who are regular full-time or regular part-time IBM employees with a valid IBM Serial Number ("Participants"). By participating, you agree to these Official Rules. All Federal, State and local laws and regulations apply. All Participants must comply with the terms and conditions of the EPP as well as these Program terms .

3. HOW TO QUALIFY:
Except as defined below, Participants will qualify for an EPP Credit ("Credit") after every five (5) NetVistaTM desktop or ThinkPadŽ Notebook purchases (including personal orders) made through the EPP during the Program Period using the Participant's IBM Employee Serial Number at the time of purchase ("Qualifying Purchase"). The following purchases are not Qualifying Purchases and are excluded from the combined total:
i purchases that have been returned to IBM for a refund or credit.
ii purchases made in violation of the EPP terms and conditions.
iii purchases made without reference to a Participant's IBM Employee Serial Number at the time of purchase.

Participants qualify for a Credit 45 days after the fifth Qualifying Purchase has shipped and no systems have been returned to IBM. Participants may qualify for subsequent Credits 45 days after the tenth (and fifteenth, twentieth and twenty fifth) Qualifying Purchase has shipped and no systems have been returned to IBM. Purchases made with reference to one individual's IBM Employee Serial Number at the time of purchase may not be assigned to any other individual, and purchases may not be pooled among two or more Participants.

4.VALUE AND LIMIT:
The amount of a Credit will be determined by the mix of ThinkPad or NetVista systems purchased. A NetVista system is worth $20 towards the Credit, and a ThinkPad system is worth $40 towards the Credit. Therefore, if 5 NetVista systems have been purchased, the Credit would be $100, and if 5 ThinkPad systems have been purchased, the credit would be $200. The Credit may vary between $100 and $200 depending on the actual mix of systems purchased. No individual Credit may be more than $200.

No Participant may qualify for or receive greater than Five (5) Credits total, for a maximum possible Credit total under the Program of $1000. Under the Program, a maximum of 25 systems units per Participant employee serial number may be purchased during the Program Period. This provision supersedes the system limitation set forth in the EPP terms and conditions.

5. NOTIFICATION OF QUALIFYING PARTICIPANTS:
Participants earning a Credit will be notified by electronic mail (e-mail) via IBM Employee Lotus Notes mail address within 2 to 3 weeks after the Credit is earned (as set forth above). The Notification e-mail is the official Credit Voucher. This Voucher will include the credit value, and a unique EPP Credit number.

6. REDEEMING AN EPP CREDIT VOUCHER:
A. This Credit may be redeemed solely by the Participant and may not be transferred. The Credit has no cash surrender value and may not be redeemed for cash or other consideration. Participants must contact the IBM EPP at 1-800-426-3675 and provide the telesales representative with a qualifying EPP Credit number(s) and Participant's IBM Employee Serial Number to redeem the Credit.

B. Participants earning a Credit will have 180 days from the date the Credit is issued to use the Credit. Credits not utilized within 180 days from the date of issue will expire. Date of issue is the date IBM sends notification to Participant.

C. Each Credit is redeemable against a single order from the IBM Employee Purchase Program. If the order against which the Credit is applied is less than the amount of the credit, the remaining balance is forfeited. Participants who have earned multiple Credits which have not yet expired may use more than one valid Credit per order. However, any remaining amount of Credit unused will be forfeited.

For example, if Participant earns 3 Credits with a total value of $600 and all 3 Credits have not yet expired, Participant could apply a credit in the amount of $600 against a single EPP order. However, in the event the order was only for $500, the remaining $100 would be forfeited.

D. Subject to the restrictions set forth herein, if a Participant has earned a Credit but has not yet used that Credit and the Credit has not yet expired, and Participant then ceases to be a regular full-time or regular part-time IBM employee with a valid IBM Serial Number, IBM will issue a cash payout in the amount of any such credit. Notwithstanding the foregoing, no such payments will be made if Participant has outstanding indebtedness to IBM or debts for which IBM may be responsible. Any payment hereunder will be made by check to Participant, subject to any applicable withholding per normal IBM practices, and will be separate from any other payments, if applicable, upon leaving IBM.

7. INFORMATION:
Participants will be responsible for all taxes resulting from the redemption of a Credit or cash-payout (if any), pursuant to Section 6(D). The value of the Credit actually redeemed will be taxable to the Participant, and included in the receiving Participant's taxable compensation, and appropriate withholdings will be made via the normal payroll process for merchandise awards. IBM may, in its discretion, utilize an alternate process for reporting or accounting for appropriate taxes.

8. GENERAL INFORMATION:
IBM reserves the right to modify or withdraw this program at any time without notice. IBM is not responsible for typographical errors. Persons found tampering with or abusing any aspect of this Program may be disqualified. If Participant is disqualified for any of the above abuses, IBM reserves the right to terminate Participant's eligibility. All your rights and all of IBM's obligations are valid only in the United States and Puerto Rico. Subject to all applicable laws. Void where prohibited.
