Why won't it fit? And it looks like the SS Unit.

i would if i removed the y pipe and put a piece of straight pipe in there, the thing is i'm in new york and they have the new emissions inspections now, and my precat are already gutted so i need the cat to pass the test

So, um what does that have to do with the ypipe? And that thing the two pipes go into is the Main cat.

ok, i get your point,i found some pictures of the stock exhaust, and i guess if i take that nasty looking flex pipe off and have a flange welded on the end of the y pipe it should fit

The 'nasty' flex pipe is there for a reason...it flexes...

The flex pipe was used from 99 onwards (IIRC). Early cars used the "doughnut" style connection. I've had both types on my car and I HATED the sound from the flex type connector. Apparently, the doughnut style connector was replaced for emissions reasons-it leaks. My guess is that Ford also found a way to make it more "cost-effective" (aka: cheaper).

My '96 SE has a flex pipe similar to the one you have in the picture. That part is original to the car and is standard production V6 fare. The assembly you have is definitely aftermarket, it appears to be an SHO shop version, but the heat shielding looks a bit different, it kind of looks like a BAT.
